Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the Value Aligners website, marketplace, AI-guided assessments, and related products and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
The Services
Value Aligners helps small and medium businesses understand their cybersecurity posture, run AI-guided risk assessments, and discover and compare vetted cybersecurity vendors and solutions. The Services include educational content, assessment tools, vendor listings, and a marketplace that connects buyers with third-party vendors. We may add, change, suspend, or discontinue any part of the Services at any time.
Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use the Services. Some features require an account. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly at admin@valuealigners.com if you suspect any unauthorized use.
Acceptable Use
You agree not to misuse the Services. You will not: violate any law or regulation; infringe the rights of others; upload malicious code or attempt to gain unauthorized access to our systems or other users' data; scrape, harvest, or resell content or vendor data without permission; interfere with or disrupt the integrity or performance of the Services; or use the Services to send spam or misleading communications. We may suspend or terminate access for conduct that violates these Terms.
Marketplace & Third-Party Vendors
The marketplace lets you discover, compare, and connect with independent third-party vendors. Value Aligners is not a party to any agreement you enter into with a vendor and does not provide the underlying security products or services those vendors sell. Vendor listings, ratings, and assessment outputs are provided for informational purposes to support your decision-making; they are not endorsements or guarantees. You are responsible for your own due diligence and for any contract you sign with a vendor. Transactions, support, and deliverables are governed by the terms between you and that vendor.
Assessments Are Guidance, Not a Guarantee of Security
Our assessments, scores, recommendations, and content are intended to help you prioritize and make informed decisions. They do not constitute legal, compliance, or professional security advice, and they do not guarantee any particular outcome, regulatory compliance, or protection against cyber threats, breaches, or losses. You remain solely responsible for implementing and maintaining appropriate security controls for your business.
Fees & Payments
Certain features, assessments, or marketplace transactions may be subject to fees, which will be disclosed before you incur them. Where payments are processed, they are handled by third-party payment providers, and you agree to their terms. Unless otherwise stated, fees are non-refundable. We may change pricing prospectively with notice.
Intellectual Property
The Services, including all software, text, designs, logos, and content created by Value Aligners, are owned by Value Aligners or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the Services except as expressly permitted. "Value Aligners" and related marks are our trademarks.
Your Content
You retain ownership of information and materials you submit to the Services ("Your Content"). You grant Value Aligners a worldwide, non-exclusive license to host, process, and use Your Content as needed to operate and improve the Services and to deliver assessments and recommendations to you. You are responsible for ensuring you have the rights to submit Your Content and that it does not violate any law or third-party rights.
Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Value Aligners does not warrant that the Services will be uninterrupted, error-free, secure, or that any content or vendor recommendation will meet your requirements.
Limitation of Liability
To the fullest extent permitted by law, Value Aligners and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business arising out of or related to your use of the Services or your dealings with any vendor. Our total liability for any claim relating to the Services will not exceed the greater of the amounts you paid to Value Aligners in the twelve months before the claim or one hundred U.S. dollars (USD $100).
Indemnification
You agree to defend, indemnify, and hold harmless Value Aligners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, Your Content, your violation of these Terms, or your dealings with any third-party vendor.
Termination
You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms or to protect the Services or other users. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You agree that any dispute not resolved informally will be subject to the exclusive jurisdiction of the courts located in Delaware, except where applicable law provides otherwise.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date below and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
